Corporate Counsel - Legal is a key role within the legal team at **MEMBERS ONLY**SIGN UP NOW***., an NYSE-listed public company. Responsibilities:
Prepare and file various documents with the . Securities and Exchange Commission, including Forms 10-K, 10-Q, and 8-K, as well as registration statements and proxy statements
Provide legal counsel on capital markets transactions and corporate finance matters, including mergers and acquisitions, securities offerings, and credit facilities
Handle corporate governance matters, including preparing materials for board and committee meetings
Develop and maintain policies and procedures to ensure compliance with SEC and NYSE rules and regulations
Draft and negotiate a variety of corporate agreements, such as service agreements and non-disclosure agreements
Qualifications:
Juris Doctor degree from an ABA accredited law school with excellent academic credentials
State Bar membership in one or more states
4-7 years of relevant corporate law experience, with a focus on securities and corporate governance matters
Ability to work independently and as part of a team, with strong communication skills
Versatility and maturity in handling multiple priorities and deadlines
