Job Title:
Senior Counsel

Job Responsibilities:
- Primary support of the company's Professional Services and Education organizations
- Structure, draft, and negotiate complex commercial agreements and Statements of Work (SOWs)
- Negotiate various privacy agreements and security terms for professional services
- Work on a variety of cutting-edge projects to help the department scale, grow, and be more efficient
- Train and interact with Engagement Managers, sales executives, third-party partners, and customers
- Create templates, playbooks, and fallback provisions
- Partner with cross-functional teams to solve issues related to complex commercial transactions
- Be an independent worker and thought leader

Education and Experience Information:
- 12+ years of experience in technology transactions
- Specific experience negotiating professional services agreements, SOWs, subcontractor agreements, master consulting agreements, SaaS subscription agreements, license and support agreements
- Experience with open source licensing and business models
- Experience negotiating privacy terms
- Experience working cross-functionally with internal organizations to resolve questions and concerns
- Excellent written/verbal communication and negotiation skills
- Ability to use sound judgment to address complex issues while maintaining an appropriate balance between legal and business requirements
- Ability to maintain strong working relationships with demanding requests, work independently with minimal supervision, and manage multiple priorities in a fast-paced startup environment
- True team player
- Familiarity with technical concepts in web applications and a willingness to learn new technical applications
- License to practice in one or more states
- Undergraduate degree and law degree
