Job Overview

A law firm seeks a skilled Mid-Level Corporate Associate Attorney to join its team in New York, NY. This role involves structuring and executing complex corporate transactions, including mergers and acquisitions, securities offerings, and syndicated loan agreements. Duties

  • Draft, review, and negotiate corporate transactional documents, including stock purchase agreements, asset purchase agreements, confidentiality agreements, and security agreements.

  • Structure and implement complex credit agreements and various financing arrangements.

  • Conduct due diligence for corporate transactions, identifying risks and advising clients on legal strategies.

  • Provide guidance on domestic and international mergers and acquisitions, company formations, corporate governance, and joint ventures.

  • Prepare due diligence questionnaires and risk assessment memoranda for financial institutions involved in M&A transactions.

  • Advise clients on . federal securities laws, regulatory compliance, and SEC reporting obligations related to complex transactions.

  • Oversee corporate housekeeping matters, ensuring compliance with corporate governance policies.

  • Manage various workstreams, including supervising junior attorneys and law clerks in due diligence and closing processes.

  • Work on capital markets and banking transactions, assisting with bond offerings, debt restructuring, and loan agreements.

  • Collaborate with financial institutions, stakeholders, and other legal specialists to support clients in achieving their business objectives.

Requirements

  • Minimum of 3 years of experience handling corporate transactions at an international law firm.

  • Strong background in M&A transactions, equity acquisitions, capital markets, and syndicated loan agreements.

  • Experience conducting due diligence and risk analysis for high-profile corporate transactions.

  • Knowledge of . federal securities laws, including SEC filings and ongoing reporting requirements.

  • Ability to manage multiple workstreams, coordinate with financial institutions, and oversee junior associates.

  • Strong analytical, negotiation, and client communication skills.

Education

  • Juris Doctor (.) or foreign equivalent from an accredited law school.

Certifications

  • Active license to practice law in the State of New York.

Skills

  • Expertise in corporate transactional law, including securities, M&A, and finance.

  • Strong legal drafting and contract negotiation abilities.
