Corporate Paralegal - Broadview Heights, OH - $60,000-$80,000

Responsibilities:

- Handle corporate governance matters for domestic and international subsidiaries, including drafting minutes/actions and maintaining corporate records
- Assist with preparation of selected public disclosures, such as materials for proxy statement
- Manage file management system for Legal Department for significant transactions, contracts, and governance matters
- Administer outside counsel relationships and review legal billings/fees
- Conduct background due diligence on third parties for compliance purposes
- Support insurance matters and collaborate with risk management group and insurance brokers
- Prepare for board and committee meetings, compliance, and reporting
- Communicate with outside counsel and internal stakeholders regarding intellectual property registration and maintenance

Qualifications:

- Associate's degree in paralegal studies, paralegal certification approved by the American Bar Association, or comparable experience
- Minimum of 5 years experience as a paralegal in a private law firm or corporate legal department, including international experience
- Knowledge of judicial and administrative processes and research procedures
- Familiarity with state and foreign laws regarding legal entities and corporate record keeping
- Experience with SEC filings and public company governance preferred
- Ability to review, approve, and process vendor and counsel invoices and expenses
- Strong organizational, analytical, verbal, and writing skills
- Excellent interpersonal skills and ability to work with all levels of the organization
- Good business judgement and understanding of legal privilege and confidentiality requirements
- Detail-oriented, proactive, and able to work under pressure and strict deadlines
