ESOP Compliance Attorney (Employee Benefits)
The candidate must have strong academic credentials with 5+ years of practice experience. Experience counseling employee benefit plan sponsors with respect to ERISA and IRS requirements for 401(k) plans and ESOPs is required. Experience in negotiating and drafting executive employment agreements and incentive plans on behalf of employers and executives is needed. Must have experience reviewing merger and acquisition agreements for purposes of ERISA review. Expertise in employee stock ownership plans (ESOPs) is essential. Knowledge of employee benefits issues in the context of corporate mergers and acquisitions is a prerequisite. Should have the ability to advise clients regarding compliance with Internal Revenue Code Sections 280G and 409A.
