Job Description:
- Support the company's mergers and acquisitions activities, including acquiring wealth management and investment adviser practices
- 7+ years of experience in large law firm corporate legal or in-house, with substantial M&A drafting and negotiation experience
- Work independently with key stakeholders and external/internal counsel in related disciplines (regulatory, employment, tax)
- Advise on all phases of acquisitions and ensure proper documentation and recording of equity consideration
- Assist with corporate record-keeping and general contract negotiation and review for the company and its subsidiaries
Duties and Responsibilities:
- Primary legal resource for all phases of mergers and acquisitions, with a focus on acquiring investment advisers and wealth management practices
- Negotiate and draft NDAs, term sheets, acquisition documents, and employment agreements
- Advise on competition issues and restrictive covenants
- Partner with business leaders, legal peers, HR, and compliance on legal issues related to acquisitions
- Work closely with the corporate secretary and private equity sponsor for equity issued in transactions
- Provide proactive counsel on emerging risks in wealth management and investment adviser businesses
- Assist with corporate secretarial function and general legal matters for the company and its subsidiaries
Qualifications and Experience:
- . from an accredited law school and active bar membership in at least one . jurisdiction
- 7+ years of hands-on experience in M&A, preferably in financial services and private equity
- Exceptional leadership, communication, and business acumen
- Strong communication and negotiation skills and ability to manage complex transactions and contractual arrangements
- Strong knowledge of SEC, FINRA, and other regulatory issues related to acquiring investment advisers and wealth management practices
- Experience in a high-growth, private equity-backed company in financial services
- Strong network within legal, wealth management, and regulatory communities
