Corporate Paralegal The candidate will work closely with attorneys and paralegals in supporting private and public companies. Prepare drafts of routine documents, such as incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements. Handle corporate and securities filings. Handle stock and option administration, including drafting agreements, preparing reports, stock notices/certificates, and maintaining capitalization records in equity management platform. Conduct blue sky and corporate legal research. Assist with drafts of agreements and correspondence connected to venture capital financings, debt financings, mergers, acquisitions, and public offerings. Manage due diligence and closing matters, including data room set-up, preparing signature packets, and creating closing volume. Assist with year-end matters. Maintain corporate records and files. Input time entry daily.
The candidate should have Bachelor's Degree or Paralegal Certificate, and 5+ years of experience in corporate practice. Should have worked previously in a law firm environment. Experience with equity management platforms is needed. Must be proficient with Excel spreadsheets. Must have a working knowledge of corporate and securities laws. Must be detail-oriented, organized, and able to work in a team environment. Should have excellent communication and prioritization skills to manage tasks.
