Corporate Associate Responsibilities:

• Provide legal advice and support to public companies on a variety of corporate and securities matters, including SEC reporting and compliance, corporate governance, and stock exchange listing requirements.
• Draft and review SEC filings, including annual and quarterly reports, proxy statements, and Section 16 reports.
• Advise clients on disclosure obligations, including Regulation FD and insider trading policies.
• Assist with corporate transactions, including IPOs, private placements, and M&A deals.
• Conduct due diligence and review transaction documents.
• Advise on corporate governance matters, including board and committee meetings and charters.
• Stay current on SEC and stock exchange rules and regulations.
• Collaborate with attorneys across different departments and offices on various projects.
• Mentor and supervise junior associates and paralegals.
• Provide excellent client service and maintain strong client relationships.

Qualifications:

• 4-6 years of experience in corporate law, with a focus on public companies and capital markets.
• Strong understanding of SEC reporting and compliance requirements.
• Familiarity with corporate governance matters and stock exchange rules and regulations.
• Experience with IPOs, private placements, and M&A deals.
• Excellent analytical, writing, and communication skills.
• Strong work ethic and ability to handle a high-volume workload.
• Ability to work collaboratively and mentor junior associates and paralegals.
• Admission to the state bar.
