- Assist with all aspects of corporate transactions, including mergers and acquisitions, debt and equity financing, and fund formation
- Maintain business entities, prepare and file formation documents, and handle company maintenance functions
- Support acquisition and disposition transactions by preparing corporate certificates, making required filings, and assisting with closings
- Prepare and file corporate annual compliance documents for various entity types in multiple states
- Maintain important documents and assist with UCC financing statements, tax liens, and annual reports for clients
- Qualify and withdraw entities to do business in foreign jurisdictions
- Review due diligence materials for corporate transactions
- Prepare notices and filings for securities offerings, including Regulation D and Rule 506 offerings
- Support annual and reporting teams by preparing Section 16 and stock exchange filings, and assisting with annual, quarterly, and current reports
- Procure and assemble closing documents, assist with closings, and maintain closing and post-closing files
- Bachelor's degree and 3-5 years of experience as a Corporate Paralegal required
- Excellent communication and interpersonal skills
- Ability to work well independently and with teams, and under pressure
- Strong attention to detail and ability to handle multiple priorities
- Proficiency in Microsoft Office Suite, internet, and databases
- Willingness to occasionally work overtime or outside of normal business hours
- Competitive salary range of $85,000-$125,000 per year
