About the Role:
The Senior Legal Counsel will report to the General Counsel, Cayman & Americas and will play a key role in supporting the Waystone business in the Cayman Islands and North America. The successful candidate will work closely with the legal team, cross-functional teams, and local businesses to help Waystone execute both long and short-term initiatives. This role can be based in any of Waystone’s local offices in the Cayman Islands, New York, New Jersey, or Ontario, and will provide support for both the Cayman Islands and North American businesses.
Key Responsibilities:
- Provide legal support as part of the global legal team, working closely with the General Counsel for Cayman and the Americas.
- Support a range of financial services products, including fund administration, independent directorships, compliance consultancy solutions, registered office, international tax compliance, AML compliance, and economic substance.
- Offer expert legal advice and guidance to the business, ensuring compliance, mitigating risk, and supporting responsible growth.
- Identify and anticipate potential legal risks and develop preventative measures.
- Analyze and advise on complex legal documentation and concepts.
- Develop and maintain contract templates and provide support with drafting, negotiating, and reviewing client and vendor agreements.
- Conduct legal research and stay up to date with changes in relevant laws and regulations.
- Prepare confidential correspondence, strategic and legal reports, and other complex documentation.
- Support corporate transactions, including due diligence and regulatory approvals.
- Advise on new products.
- Liaise with and coordinate relationships with external counsel on legal and regulatory matters.
- Take responsibility for general legal matters, including insurance notifications, employment law support, policy work, litigation support, regulatory inspections, information requests, and involvement in local committees.
- Provide ongoing training to employees on relevant legal developments and internal policies and procedures.
Requirements:
- Possess legal experience within the financial services industry, preferably with a fund administrator or fiduciary services provider, in the Cayman Islands and/or North America (experience in both jurisdictions is a plus).
- Demonstrate strong technical skills, with detailed knowledge of fund structures and documentation, local financial services laws and regulations, and corporate law.
- Be adaptable and able to balance workloads for multiple internal clients across several legal jurisdictions.
- Possess excellent drafting skills and the ability to negotiate complex commercial contracts.
- Demonstrate strategic thinking, business judgement, and the ability to evaluate multiple inputs and assess the impacts of decisions or courses of action.
- Be resilient, adaptable, and able to thrive in a fast-paced, dynamic environment while balancing multiple competing projects and tasks.
- Have a strong understanding of risk management and the ability to anticipate issues and devise proactive solutions to eliminate or mitigate risks.
- Possess excellent interpersonal skills and be able to collaborate effectively with peers and engage with internal stakeholders.
- Act as a proactive self-starter with a focus on risk prevention and minimization, capable of working autonomously and anticipating challenges.
Education:
- Qualified attorney/solicitor with a minimum of six years’ PQE.
- Applicable qualifications to practice law in the Cayman Islands and/or North America.
