Job Overview

A nationally recognized law firm is seeking a Corporate Transactions Associate Attorney with 2–5 years of experience to join its growing Business Transactions Practice Group in Silicon Valley. This role involves representing emerging growth companies, venture capital firms, private equity investors, and established companies in a variety of corporate and transactional matters. The position offers substantial client interaction and opportunities to take on meaningful responsibilities within a dynamic and collaborative legal team.

Location

  • Palo Alto, CA

Duties

  • Represent clients in a range of corporate transactions, including:

    • Venture capital and early-stage financings

    • Mergers, acquisitions, and dispositions

    • Joint ventures and strategic alliances

    • Private equity transactions

  • Provide ongoing general corporate counseling to startups, private equity firms, and portfolio companies

  • Draft and negotiate sophisticated transactional documents

  • Manage and coordinate deal processes and timelines

  • Engage in direct communication with clients, investors, and opposing counsel

Requirements

  • 2–5 years of relevant experience in corporate transactional law

  • Substantial experience in venture capital financing, M&A, or private equity deals

  • Proven ability to manage multiple matters in a fast-paced environment

  • Previous experience working in a law firm or equivalent legal setting

  • Positive attitude, strong work ethic, and an eagerness to develop client relationships

Education

  • Juris Doctor (.) from an ABA-accredited law school

Certifications

  • Active and in good standing with the California State Bar

Skills

  • Excellent drafting, negotiation, and project management abilities

  • Strong legal research and analytical skills

  • High attention to detail and organizational efficiency

  • Effective communicator with strong interpersonal and client-facing skills

  • Comfortable working both independently and collaboratively within a team
