Baker, Donelson, Bearman, Caldwell, & Berkowitz, . is currently looking for an experienced Corporate/Transactional Paralegal to join our team in Nashville, TN. This is a full-time position with regular hours, subject to firm COVID-19 protocol, and the potential for overtime if necessary.
We are seeking candidates with a bachelor's degree and/or a paralegal certificate from an ABA approved program, as well as five years of prior corporate experience. The ideal candidate will have strong organizational, interpersonal, and communication skills, with an aptitude for detail and multi-tasking. Knowledge of the Corporate Transparency Act and SimplyAgree software is considered a plus.
Responsibilities for this role include annual report filing, drafting and managing various business entity documents, arranging UCC/litigation/lien searches, preparing and filing UCC documentation, and assisting with due diligence. Additionally, the selected candidate will assist with Form 4 filings, collect pertinent documentation, and arrange information in virtual data rooms.

Requirements:
• Bachelor's degree and/or paralegal certificate from an ABA approved program
• 5 years of prior corporate experience
• Strong organizational, interpersonal, and communication skills
• Aptitude for detail and multi-tasking
• Flexible and able to manage multiple projects for different attorneys
• Regular attendance and willingness to work overtime if necessary
• Authorization to work in the United States
