Job Title: Legal Counsel
Job Responsibilities:
- Draft and negotiate various forms of contracts and third-party agreements with customers, vendors, and partners. This includes customer sales agreements for medical devices, related services, SaaS and software licensing; service level agreements, ASP customer agreements, reseller agreements, partnership agreements, and purchase order terms and conditions.
- Draft and negotiate privacy and data protection agreements such as business associate agreements, data processing agreements, and information security agreements.
- Provide timely, high-quality analysis and pragmatic advice on legal and business issues to internal clients.
- Offer proactive legal and business counseling on a broad range of topics including general commercial law, contract interpretation, privacy regulations, and healthcare compliance regulations.
- Support corporate-level initiatives or other assigned duties to drive commercial success and operational efficiency.
- Collaborate with internal clients across various functional areas, including Sales, Management, Marketing, Operations, Finance, Digital Health, and Compliance.
Education and Experience Information:
- Graduate of an accredited law school and licensed to practice law in the employee’s state of residence is required.
- 5-7 years of legal experience as a dedicated commercial transactions attorney in the healthcare industry, with a strong preference for individuals with a background in medical device and healthcare software solutions.
- Experience as in-house counsel or with a law firm dedicated to supporting an internal sales organization is strongly preferred.
Knowledge, Skills, and Abilities:
- Exceptional oral and written communication and interpersonal skills, including the ability to actively listen.
- Ethical integrity and strong analytical skills.
- Excellent business judgment and sound decision-making ability.
- Ability to interface professionally and effectively with all levels of personnel internally and externally.
- Strong ability to draft and negotiate legal documents with attention to detail.
- Proactive, organized, self-motivated, and self-disciplined work ethic, with the ability to reprioritize in real-time.
- Ability to manage multiple priorities with a collegial, collaborative tone.
- Professional demeanor, high competency, and positive attitude.
- Strong working knowledge of healthcare compliance regulations and privacy regulations is mandatory.
- Ability to perform essential duties and responsibilities as described and as modified from time to time based on the company's diverse and evolving needs.
- Experience as in-house counsel or with a law firm dedicated to supporting an internal sales organization is strongly preferred.

Salary Information:
- Compensation for this position is approximately $160,000. Final compensation will be determined by various factors such as a candidate's relevant work experience, skills, certifications, and location.
