Assistant General Counsel - Benefits and Compensation – Legal & Claims Chicago, IL, Baltimore, MD, or Washington, DC Hybrid Constellation

Primary Purpose of Position:
- Provide legal advice and support on ERISA compliance, benefits eligibility, and benefits related contracts
- Research legal issues and review and revise plan documents, summary plan descriptions, and other relevant documentation
- Monitor legislation and ensure compliance with applicable statutes and regulations
- Contribute to cross-functional projects and teams
- Support senior attorneys in managing relationships and matters with Constellation Operating Companies/Business Units and outside counsel
- Demonstrate superior legal judgment and innovation in the business context
- Develop and update employee benefits and compensation policies and guidance
- Monitor legal developments and advise on relevant changes and trends
- Influence team members at all levels within the organization to mitigate risk and drive business priorities

Primary Duties and Accountabilities:
- Plan, conduct, and supervise complex legal assignments, evaluating both legal and business risks and advising clients accordingly
- Monitor and identify legal developments affecting employee benefits and compensation plans and programs
- Maintain and update compliance library resources
- Advise on the design, implementation, and administration of qualified and non-qualified retirement, health and welfare, and compensation plans and programs
- Support the Corporate Secretary with drafting compensation disclosure for annual proxy statement and other materials
- Draft and negotiate employment and compensation arrangements
- Review and ensure legal compliance of employee benefit and compensation policies
- Support mergers, acquisitions, and other corporate transactions with counsel on executive compensation, benefits, equity, and employment tax matters
- Review, negotiate, and draft compensation and benefit plan-related vendor agreements
- Provide practical and actionable legal advice on business problems
- Lead and direct less experienced attorneys and support staff on the team
- Other projects and duties as assigned

Minimum Qualifications:
- LLB or JD from an accredited law school and licensed to practice law in relevant jurisdictions
- 10-12 years of professional experience in a specialized area of law
- Comprehensive knowledge of principles, practices, and procedures of the legal field
- Excellent legal research, analytical abilities, and ongoing knowledge of federal and/or state law

Preferred Qualifications:
- Understanding of retirement, health and welfare, and compensation plan laws, including ERISA, ACA, COBRA, HIPAA, and more
- Strong communication skills, both oral and written
- Ability to work under pressure and meet deadlines
- Ability to communicate complex legal concepts to non-lawyers and provide risk-based compliance approaches
- Ability to manage multiple priorities and work independently
- Experienced in Compensation and Employee Benefits Law
- Experience in M&A with employee benefits and compensation related matters

Total Rewards:
- Competitive salary range of $213,300 to $237,000, based on experience
