The Commercial and Technology Contracts Counsel - Assistant Director is a key role within EY's General Counsel's Office (GCO) that supports the firm's business by providing legal advice and support for procurement and client contracting activities. Key responsibilities:

- Negotiating legal terms and conditions of technology and non-technology agreements with third parties
- Providing practical legal advice and counseling on key legal risks associated with contracts
- Reviewing contract requests and determining appropriate contract structure and forms
- Collaborating with internal stakeholders and teams within EY
- Interpreting and explaining contract terms and conditions to internal clients and stakeholders
- Building rapport with internal clients and stakeholders to deliver exceptional service
- Coordinating with cross-functional teams and other GCO colleagues to provide comprehensive risk assessment and management
- Understanding legal and client business goals and how they impact contracts
- Effectively managing workflow and multiple projects
- Assessing size and scope of transactions and tailoring contracts accordingly

Skills and qualifications:

- Excellent communication skills, both oral and written
- Strong expertise in technology and non-technology transactions and the applicable market, legal, and regulatory environment
- Cultural and emotional intelligence, with the ability to adapt to changing circumstances and dynamics
- Ability to understand and articulate complex transactions
- Experience with negotiation techniques, contract law, contract drafting, licensing, intellectual property, procurement, and project management
- Solution-oriented mindset with a focus on exceptional client service
- Respectful and professional communication style
- 4+ years of experience as a practicing attorney
- Bachelor's degree from an accredited four-year college/university
- Juris Doctor from a top national law school
- Good standing with a State Bar
