Corporate Counsel - Litigation
The candidate manages assigned corporate litigation brought by and against the company. Directs and oversees outside counsel in trial and appellate work. Provides analysis, legal advice, and recommendations regarding litigation strategy, case resolutions, potential litigation risk, and mitigation of risk. Works with business units to provide outside litigation counsel with information and documents relevant to ongoing litigation cases. Advises business units and other stakeholders on litigation status and recommended resolutions. Provides specialized legal interpretations relating to the assigned corporate legal division: property and casualty, litigation, labor and agency, or life company. Researches and prepares legal memoranda and opinions on specialized questions including corporate transactions and corporate secretarial, and legal liability pertaining to areas assigned to the corporate legal divisions. Makes appearances before various tribunals in respect to the areas assigned to the corporate legal divisions. Assists in the drafting of bills for proposed legislation. Drafts letters, opinions, and briefs directed to government boards and agencies (., insurance departments, attorney generals, and boards of equalization). Prepares legal briefs and pleadings in specialized matters involving insurance group organizations. Conducts legal research and drafts points, authorities, and briefs. Monitors recovery from the Companies' carriers relative to expenses and liabilities arising from corporate litigation. Responsible for and anticipates the legal needs of the areas assigned to the Corporate Legal Divisions. Monitors recovery from the Companies' carriers relative to expenses and liabilities arising from corporate litigation. Approves and modifies forms of insurance policies, endorsements, and other forms; and interprets policy language. Gives opinions on disability insurance coverage; handles appeals to the Department of Employment regarding disability coverage; and approves and recommends changes in group disability coverages and group life insurance coverage purchased from outside carriers for employees and agents. Correlates policy coverage with booklets describing coverage distributed to employees and agents. Indexes legal opinions and keeps index of recent cases and legal articles pertinent to the areas assigned to the Corporate Legal Divisions. Manages special assignments as requested by legal department management. Performs other duties as assigned. LLB or JD degree are required with membership in any State Bar, and completion of review or seminar courses in corporate law and associated fields; as well as meet all MCLE rules and regulations. Must have 4+ years of experience in litigation and/or in-house litigation management. Experience with class action litigation, employment litigation, insurance coverage, and/or bad faith litigation would be preferred.
