Key Responsibilities:
- Conduct CFIUS jurisdiction assessments and analyses
- Develop CFIUS and CFIUS-adjacent diligence programs
- Design transaction structures to mitigate or eliminate risks
- Advise corporate teams and transaction parties on risk allocation
- Prepare CFIUS notices and declarations
- Negotiate national security agreements and other mitigation instruments
- Manage post-closing compliance obligations
- Conduct post-closing ‘non-notified’ CFIUS inquiries
- Advise parties on their obligations to respond to CFIUS non-notified inquiries
- Represent parties in the preparation of CFIUS filings
- Stay informed and up-to-date on national security issues
- Demonstrate keen writing skills
- Be willing to work on tangential issues to the CFIUS practice

Responsibilities for this position include conducting CFIUS jurisdiction assessments, developing diligence programs, designing transaction structures, advising on risk allocation, preparing CFIUS notices and declarations, negotiating national security agreements, managing post-closing compliance obligations, and conducting post-closing inquiries.
The ideal candidate will have a demonstrated interest in national security issues, strong writing skills, and a willingness to work on tangential issues related to the CFIUS practice. The expected salary for this position is $225,000 per year.
