Paralegal Specialist - Governance: Essential Role in Corporate Subsidiary Structure

As a Paralegal Specialist in Governance, you will play a crucial role in managing the domestic corporate subsidiary structure of the company. You will be part of a transformational team working towards achieving strategic goals and serving a global company. This position reports to the Paralegal Manager for the Office of the Corporate Secretary.

Key Responsibilities and Qualifications:

Key Responsibilities:

- Manage all aspects of entity maintenance, including state and local filings, new entity formations, and mergers
- Prepare governing documents and handle subsidiary governance, including officer and director appointments
- Support internal clients and functional partners in preparing corporate documentation
- Provide guidance on DE and CA Corporations requirements and manage Corporate Secretary Inbox
- Liaise with outside counsel and registered agents
- Assist in the development and implementation of governance guidelines and policies
- Assist with trainings and presentations
- Assist with other corporate secretary and governance-related projects

Qualifications:

- Bachelor's degree and/or paralegal certification
- At least 7 years of relevant corporate/subsidiary governance experience
- Extensive knowledge of Delaware and California corporations law
- Operational entity management knowledge and experience
- Strong communication and organizational skills
- Ability to manage high-volume workload with accuracy and efficiency
- Team-oriented and collaborative approach
- Professional demeanor, positive outlook, and can-do attitude

Bonus Skills/Experiences:

- Experience in a large national law firm or in-house at a large public company
- Experience managing a large volume of legal entities
- Experience with budgeting and legal billing software

Salary Information:

The hiring range for this position in the Greater Los Angeles area is $103,500 to $138,800 per year. The actual base pay offered will be determined based on internal equity, geographic region, and job-related knowledge, skills, and experience. In addition to a competitive salary, the full range of medical, financial, and other benefits will be provided, along with potential bonuses and long-term incentive units.
