Senior Corporate Paralegal The candidate will assist lawyers in all stages of corporate and real estate transactions and with the preparation of documents necessary to comply with federal, state and local regulations with minimal supervision. Will work with lawyers to prepare all documents required to form corporations, partnerships and limited liability companies in any state. Create and maintain corporate minute books; prepare stock certificates. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Work directly with attorneys and clients during closings and corporate transactions. Prepare/conduct UCC Filings and Searches. Support Attorneys with securities and commercial transactions, due diligence, and regulatory and compliance matters. Assist in drafting Real Estate related documents. Assist with Title and Survey review. Should have 7+ years of paralegal experience. Excellent writing and communication skills and ability to work in a team environment required. Must have excellent understanding of Microsoft Word and Excel. Must have a Bachelor's Degree.
