Senior Counsel - Corporate, M&A, and Securities
The candidate will be part of the company's corporate legal team that focuses on M&A transactions, securities reporting work and other corporate matters. Provide legal advice, counsel and related services to the company's corporate function in support of strategic business transactions and all aspects of securities and corporate work. Provide the company with strategic, proactive, practical and cost-effective legal advice and services in order to enable the company to effect its business strategies and protect the organization's assets, operations and reputation. Provide legal counsel related to mergers and acquisitions, corporate securities, and transactional support, among other areas. Review definitive purchase and sale agreements and related ancillary agreements. Coordinate due diligence with internal stakeholders and outside counsel. Draft and negotiate non-disclosure agreements and letters of intent. Assist commercial legal team with unique strategic commercial partnerships. Assist in the preparation of antitrust and healthcare regulatory filings. Assist in the preparation of certain routine SEC filings and other securities law matters, including coordination with internal stakeholders. Utilize broad and deep knowledge and strong professional judgment to develop innovative new business practices, policies, and procedures. Work on and may lead highly complex projects of large scope. Advise on complex technical business issues. Consult with management to determine project objectives with long-term implications.
