Job Title:
General Counsel

Job Responsibilities:
- Demonstrate safety as a core value and establish a safe work environment by actively leading the safe execution of work.
- Advise executive, senior management, and board on various matters such as legal rights, and new and existing laws.
- Manage the organization's legal matters.
- Examine and create draft agreements, such as employment and vendor agreements.
- Maintain knowledge of the organization’s operations and legal documents.
- Conduct legal research and review the company's litigation strategy pertaining to legal actions.
- Extensive first-chair litigation experience, including drafting pleadings and motions, managing discovery, taking and defending depositions, arguing motions in court, and representing the company at trial and hearings, with minimal or no reliance on outside counsel.
- Promulgate and create directives of corporate acts and decisions.
- Preserve all corporate records.
- Handle statutory filings, such as licensing forms.
- Manage and coordinate engagements with outside counsel, including oversight of assignments, performance, and alignment with business objectives.
- Create new entities and manage the organization's intellectual property.
- Possess a strong background in environmental law, including experience managing compliance with state, local, and federal environmental regulations (., EPA, state DEQs), and representing the company in interactions with regulatory agencies, audits, enforcement actions, and permitting processes.
- Guide labor and employment law matters, including union relations, wage and hour compliance, workplace investigations, and employee discipline.
- Support M&A activity, corporate governance, and other strategic transactions with legal insight and due diligence oversight.

Education and Experience Information:
-
- 4+ years of legal practice with an established law firm, complemented by in-house corporate experience advising on complex legal, regulatory, and business matters.
- Litigation experience including drafting pleadings, motions, and managing discovery, arguing motions in court.
- Proficient legal experience in fund investments, venture capital financing, and M&A.
- Experience with corporate governance issues and corporate secretarial duties.
- Excellent verbal and written communication skills.
- Knowledge of statutes, rules, and regulations pertaining to businesses.
- Proficient understanding of business sensitivities and confidentiality.
- Demonstrated ability to develop and execute enterprise risk management strategies that align with and support overarching business goals and corporate objectives.
