Paralegal - Corporate Duties: Process Minnesota and Delaware entity filings. Draft entity organizational and dissolution forms, Form SS-4s, resolutions and foreign registrations. Obtain Employer Identification Numbers (EIN). Draft and file Securities and Exchange Commission (SEC) Form ID and Form D. Draft and file Uniform Commercial Code (UCC) forms. Order and compile searches with the Secretary of State (SOS) and/or preferred vendor. Act as liaison between attorney and client, facilitating communication and transmittal of necessary information. Make independent and critical decisions regarding exchange of information with client, file management, and delegation of responsibilities.

Qualifications: Bachelor's degree, paralegal certificate or equivalent work experience in a legal setting. Must have 3 years of corporate experience, preferably in a law firm setting. Skill with interpersonal relationships and ability to effectively interact with all levels of staff and outside contacts. Ability to effectively work within a team environment. Skill in organizing and prioritizing work according to timelines and importance of tasks, and following assignments through to completion. Ability to work independently with minimal supervision. Ability to work well under pressure with deadlines possess a sense of urgency. Ability to effectively handle multiple tasks and frequent interruptions.
