Job Title: Paralegal, Technology Companies Group

Job Responsibilities:
As a Technology Companies Group Paralegal at the law firm, you will be integral to delivering quality legal services to clients. Your role will encompass a variety of technical tasks that demand precision, attention to detail, excellent organizational skills, and strong written and oral communication abilities. A high level of computer proficiency is also required. Your representative duties will include organizing and maintaining various corporate entities such as corporations, partnerships, limited liability companies, and limited liability partnerships.

Your responsibilities will include, but are not limited to:
- Establishing corporate names, preparing formation documents, and coordinating execution and subsequent filing in appropriate jurisdictions.
- Preparing entity qualification or registration forms for foreign jurisdictions.
- Preparing and maintaining minute books and capitalization tables.
- Using capitalization management software to maintain client capitalization records.
- Assisting in drafting employment, purchase and option agreements, stock plans, and other related documents.
- Conducting blue sky research and analysis, including preparing and filing necessary state and federal forms and reports with appropriate governmental entities.
- Assisting with liquidations and dissolutions of companies and other entities.
- Assisting in closings by preparing and gathering closing materials and attending pre-closings and closings.
- Helping in drafting and reviewing transactional documents such as signature pages, officer's certificates, and correspondence, particularly focusing on serving companies in the technology, energy, and financial sectors.

Education and Experience Information:
- A bachelor’s degree is required, and a paralegal certificate from an ABA-approved training program is preferable but not mandatory.
- A minimum of 5 years of equivalent experience is required.
- The candidate should demonstrate good organization, verbal and written communication skills, and an aptitude for developing specific and detailed knowledge and understanding of complex issues and procedures.
- Proven ability to delegate appropriate tasks to other firm resources.
- Strong time management skills and a willingness to work in a dynamic, shared environment are essential.
- Excellent computer skills with proficiency in Microsoft Word, Excel, and any practice-related software are necessary.
- An understanding of Delaware General Corporate Law, New York Business Corporate Law, and California Corporations Code is required.
- Significant substantive working knowledge of the procedures, terminology, and documents related to the formation of various corporate entities is essential.

In the California offices, paralegals must meet the qualifications, including compliance with the continuing education requirements, as set forth in the California Business and Professions Code, Section 6450 et seq.

Salary Information:
The expected salary range for this position is:
- California Major Markets: $64,000 - $160,000
- New York City: $64,000 - $160,000

California Major Markets include San Francisco, Silicon Valley, Los Angeles, Orange County, and Santa Monica. All other California locations fall within the National range.

The level of pay within the range will depend on various job-related factors, which may include, but are not limited to, qualifications, relevant experience or education, particular skills or expertise, and geography. Other compensation may include an annual discretionary merit bonus, determined by firm and individual performance.
