This large international New York law firm founded in 1934 has established a full-service presence. Clients include large corporations and individuals as well as small and medium-sized businesses. The firm represents a wide range of industrial, financial and commercial enterprises, both publicly and privately held. Firm lawyers represent clients in every state as well as numerous foreign jurisdictions. The firm is organized by legal specialization: corporate, e-commerce, employee benefits, estate planning, government and regulatory affairs, health law, intellectual property, international, litigation and tax. This firm offers competitive salaries and many firm lawyers also practice interdepartmentally distinguishing them from many other large law firms.
Regulatory Healthcare Paralegal Duties: Assist with drafting agreements and related closing documents and binder sets for corporate transactions. Attend and assist attorneys throughout a Health transaction, including maintenance of checklists and scheduling, and during closings. Prepare documents to form new entities (Corporations, LLCs, LLPs, Professional Practice Entities (PLCs/PLLCs/Pas, etc.)) in any state and file all materials with the applicable the state department(s). Draft corporate filings such as resolutions, formation documents, bylaws, amendments, annual reports, etc. Prepare corporate minute books, stock certificates and transfer instruments. Prepare foreign qualification documents for all US jurisdictions and file all forms with the applicable Secretary of State for a single entity. Draft financing statements, amendments, termination and other documents under the Uniform Commercial Code; perform state and federal UCC, lien and litigation searches. Communicate with state and federal regulators to confirm specific requirements of clients during health system changes of ownership. Prepare healthcare regulatory filings (particularly telehealth and pharmacy-related filings), organizational licensing applications, and tax filings). Draft and file IRS forms including SS-4 Forms to obtain Employer Identification Numbers (EINs), 8832s, 83(b)s, 8869s, FIRPTAs, Form 1128 to adopt or retain a tax year and Form 2848 to appoint power of attorney on behalf of taxpayers, and other tax filings related to transaction documents. Coordinate new provider enrollment and changes of ownership for Medicare and Medicaid; assist with compliance and notice projects; research and contact regulators. Research and prepare individual professional license applications for all 50 states, including medical (MD/DO, PA, APRN), dental, optometric, and mental health; experience using Interstate Medical Licensure Compact pathways, Nursys, FSMB/NCQA, and related systems preferred. Perform transactional & regulatory due diligence; create and manage electronic due diligence data rooms. Perform legal research and compile case law, statutes, regulations and legislative histories using state and federal reporters, legislative materials, law journals, periodicals and electronic research tools such as Lexis-Nexis and WestLaw. Perform legal writing services such as footnoting, Bluebook cite checking and providing legal source material. Compile information on health systems, affiliated organizations and individuals for business development; assist with the drafting of RFPs.
Qualifications: A Bachelor's degree or Paralegal Certificate. 5 years of related work experience. Knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word). Strong written and verbal communication skills. Strong organizational skills. Ability to work under tight deadlines and prioritize responsibilities and multitask across multiple projects. Ability to work flexible and/or fluctuating work hours. Ability to handle and maintain confidential information.
