Duties

  • Provide strategic legal guidance on employee benefits and executive compensation in the context of mergers, acquisitions, and other corporate transactions

  • Structure and advise on equity and incentive compensation arrangements for both public and private companies

  • Analyze and interpret regulatory frameworks including securities law disclosure obligations and tax compliance under IRC Sections 409A and 280G

  • Draft and negotiate benefits-related provisions in corporate transaction agreements

  • Manage multiple matters with minimal oversight while supporting client needs efficiently and effectively

  • Advise on the legal implications of various executive pay structures and governance practices

  • Partner with internal teams and external clients on transactional due diligence and post-transaction integration

Requirements

  • Minimum of 5–7 years of dedicated experience in employee benefits and executive compensation, particularly in the context of M&A

  • Strong command of securities law disclosure requirements for executive compensation matters

  • Proven ability to operate independently on complex matters with minimal supervision

  • Experience managing concurrent projects and prioritizing tasks in high-pressure environments

  • Detail-oriented with exceptional drafting and analytical skills

Education

  • Juris Doctor (.) degree from an ABA-accredited law school

Certifications

  • Active membership in good standing with the Bar in at least one . jurisdiction

Skills

  • Expertise in designing and implementing equity and cash compensation plans

  • Proficient in navigating the intricacies of IRC Sections 409A and 280G

  • Exceptional written and verbal communication skills

  • Ability to develop strong client relationships and communicate complex information clearly
