Overview:
**MEMBERS ONLY**SIGN UP NOW***., a globally recognized leader in the S&P 100, is seeking a Corporate Paralegal to join their Corporate Legal Department. This role will support various initiatives and operations within the department, with a focus on managing the company’s . subsidiaries and supporting the Corporate Secretary. The ideal candidate will have a minimum of 5 years of relevant legal experience and a Paralegal Certificate from an ABA-approved school.
Responsibilities:
Corporate Matters
- Manage the company’s . legal entities, ensuring they remain in good standing and handling annual reporting processing, forming and qualifying entities, and other entity administration.
- Collaborate with attorneys and investment and tax teams in the designation, formation, qualification, and structuring of entities for the company’s investments and initiatives.
- Work with the Global Corporate Secretary team to gain a high-level understanding of the company’s international organizational structure.
- Oversee external service providers for entity management and maintain accuracy and completeness of entity management database.
- Assist with entity reorganizations and dissolutions, as needed.
- Support the Corporate Secretary function and assist with KYC, due diligence, and other requests.
- Conduct research on corporate, securities, governance, and compliance issues.
Strategic Matters
- Support the Corporate Legal Department with various corporate initiatives.
- Assist with legal operations, including scheduling, billing, and file management.
Qualifications:
- Minimum of 5 years of relevant legal experience.
- Undergraduate degree from an accredited . university.
- Paralegal Certificate from an ABA-approved school.
- Notary Public required.
- Strong knowledge, skills, and abilities in support of essential job functions.
Desired Qualifications:
- Experience with entity management at a large . law firm or in-house with a . public company with global operations.
