Summary:
- Cooley, a leading law firm, is seeking a Fund Formation Paralegal for their offices in New York, Washington DC, Boston, and Reston.
- This is a full-time position with a competitive salary range of $76,960 - $112,320 annually.
- The Fund Formation Paralegal will provide support to attorneys and senior paralegals and perform administrative duties as assigned.
- Responsibilities include preparation and maintenance of organizational documents, conducting due diligence, and handling SEC compliance reporting.
- The ideal candidate will have a Bachelor's degree and at least 3 years of paralegal experience, preferably in Fund Formation.

Position Responsibilities:
- Provide paralegal support to Cooley attorneys and senior paralegals in all aspects of emerging company and venture fund work.
- Prepare and maintain organizational documents, partnership and limited liability company agreements, and other legal documents.
- Conduct investor suitability due diligence and research federal and state securities regulations for fund formations.
- Handle SEC compliance reporting for venture fund clients.
- Assist with due diligence reviews and preparation of opinions and backup documents.
- Complete administrative duties, including time sheets and e-timelogs, in a timely manner.
Skills and Experience:
Required:
- Willingness to work overtime as needed.
- Proficiency in Microsoft Office suite, iManage, and other firm applications.
- Bachelor's degree.
- Ability to bill a minimum of 1600 hours annually.
- Minimum of 3 years of paralegal experience, preferably in Fund Formation.
Preferred:
- Paralegal Certificate.
