Position Summary:
The Mergers and Acquisition (“M&A”) Tax Consultant is responsible for assisting clients with various tax obligations within M&A transactions. This includes tax due diligence, structuring, divestiture, and planning. The role reports to the M&A Tax leader and has significant visibility to the firm’s Tax practice partner.
Professional Responsibilities:
• Review financial statements and other relevant data to identify potential tax exposures in proposed transactions.
• Participate in calls with clients to gain an understanding of their business and potential tax issues.
• Communicate unusual tax exposures with internal team and clients.
• Assist in tax planning and analyzing proposed transactions for tax-efficient structures.
• Assist with post-deal integration and implementing procedures to minimize future exposures.
• Review work for quality, accuracy, and relevance.
Skills and Competencies:
• Experience with financial analyses in M&A, including tax consulting, planning, and due diligence.
• Working knowledge of IRC section 382.
• Ability to research business and industry trends for proposal development.
• Strong communication and collaboration skills.
• Critical thinking and problem-solving abilities.
