This position, with a preferred location in Century City, offers a salary range of $310,000 - $390,000 per year and is open to candidates with 4-6 years of experience in corporate law.
The ideal candidate will have a strong background in corporate law, specifically in advising emerging companies and venture capital investors on various corporate and transactional matters. They will also have experience drafting and negotiating venture capital financing documents, providing legal guidance on corporate governance matters, and supporting clients in mergers and acquisitions and other strategic transactions.
This position requires a Juris Doctor degree from an accredited law school and admission to the California Bar. The successful candidate will possess excellent drafting and negotiation skills, be entrepreneurial and a team player, and have the ability to work independently and collaboratively in a fast-paced environment. Strong academic credentials are also required.
Responsibilities for this role include acting as outside corporate counsel to early-stage and late-stage private companies, managing internal and external client and counsel relationships, and conducting due diligence and assisting in transactional closings.

Job Description:
• Provide legal guidance on corporate governance matters, including board and shareholder issues
• Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA (and related) financing documents
• Advise emerging companies and venture capital investors on a wide range of corporate and transactional matters, from formation to exit
• Support clients in mergers and acquisitions, joint ventures, and other strategic transactions
• Act as outside corporate counsel to early-stage and late-stage private companies
