Corporate Paralegal - Minneapolis, MN: Fredrikson & Byron is seeking an experienced Paralegal to join their Corporate Department in Minneapolis, MN. This position offers a hybrid work-location schedule, allowing employees to work from both the office and home.
Overview: The Corporate Paralegal will be responsible for entity formation, dissolution, conversions, mergers, stock and membership unit management, foreign qualifications, state and local registrations, and drafting and reviewing real estate contracts. They will also be responsible for managing client communications throughout the transaction and ensuring all legal requirements are met with meticulous attention to detail.
Key Responsibilities Include:
· Entity formation, dissolution, conversions and mergers.
· Manage stock/membership units, foreign qualifications and state/local registrations.
· Draft ancillary closing documents and corporate resolutions, prepare for closings and create closing books for merger and acquisitions.
· Draft and review real estate contracts.
· Conduct and review title searches.
· Prepare closing documents and coordinate with lenders and title companies.
· Manage client communications throughout the transaction and ensure all legal requirements are met with meticulous attention to detail.
Our Ideal Candidate Will Have:
· At least one to ten years of experience in more than one area of transactional practice (preferably corporate law, mergers and acquisitions, and real estate).
· Strong attention to detail and the ability to manage a diverse and busy workload.
· Ability to work independently and prioritize tasks effectively.
· Excellent communication skills, both written and verbal.
· Client service driven mindset.
· Strong organizational skills and the ability to manage multiple projects simultaneously.
Salary Information:
· The estimated starting annual pay range for this position in Minneapolis is $57,000 - $87,000/year.
· The compensation offered will be dependent on the candidate’s experience, skills, education, professional background, overall qualifications, and geographic market location.
