Job Title: Corporate Paralegal

Status: Full-Time

Location: Brookline (part remote/hybrid eligibility)

Boston Children’s Hospital is seeking an experienced Corporate Paralegal to support the corporate and regulatory needs of the Office of the General Counsel. This role will be responsible for providing support for all corporate activities, including corporate governance activities, and other legal and technical support, as needed to support the work of the attorneys in the OGC.

Key Responsibilities:

- Review, assist in drafting, and manage contract templates, simple agreements and amendments, and administrative documents, including consulting agreements, educational program agreements, event agreements and other simple agreements, and will revise, manage and maintain template agreements.
- Assist with the development, implementation and maintenance of administrative programs and systems supporting the OGC, including contracts review and management systems, including developing and recommending policies and procedures for administrative operations supporting the OGC, and maintaining procedures for all written and electronically recorded information.
- Serve as the OGC System Administrator for legal matter management system and contracts management system, including entering data relating to intake of new matters, assisting attorneys and users with management and use of systems, and reporting certain metrics to OGC leadership.
- Manage contracts submitted to the OGC contracting system, and train Hospital personnel who use the contract management system.
- Oversee certain categories of contracts and programs, including: Personal/Outside Consulting/Advisory Board Agreements and Clinical Contracts program, and facilitate documentation for physician and recruitment Housing Loan Program, under direction of real estate and regulatory attorneys.
- Assist with corporate governance activities, including drafting, updating, managing and submitting corporate filings with state and local regulatory bodies, and maintaining the system corporate organizational chart.
- Provide paralegal and technical support to OGC attorneys, including liaising with outside counsel, as needed.
- Prepare, triage and respond to legal requests from Hospital staff regarding a broad range of legal matters.

Qualifications:

- BA degree in Paralegal Studies, or BA degree plus Paralegal certification is required
- At least 10 years of experience as a corporate paralegal and contracts administrator in an in-house general counsel or law firm setting
- Experience in a health care setting, and knowledge of health care operations is preferred
- Knowledge, experience and facility with legal support software and systems, spreadsheets, and other administrative office systems are required.
- Keen attention to detail, and ability to problem-solve and respond quickly and thoughtfully to shifting priorities in a complex business environment.
- Demonstrated ability to build and maintain relationships across departments, with affiliated entities’ staff and with external vendors, partners and collaborators.
- Excellent organizational and project management abilities, with proven track record of inspiring and motivating others to successfully navigate the deployment of large-scale projects from initiation to completion.
