An esteemed law firm is seeking a Transactional Tax Associate Attorney to join its Capital Markets practice. This role involves assisting with various aspects of corporate and securities law transactions, with a focus on tax implications related to securitizations, structured financings, and real estate investment trusts (REITs). Duties

  • Assist in structuring, preparing documents, and handling disclosures for securitizations, structured financings, and bond offerings.
  • Participate in structuring fund formations and investments in mortgage and other debt-related assets.
  • Coordinate and execute corporate and securities law transactions, including REIT formations and securities offerings for partnerships and LLCs.
  • Advise public and private entities, including REITs, on corporate, tax, and real estate matters.
  • Provide counsel on commercial mortgage loan origination and distressed debt restructuring.
  • Conduct diligence reviews and coordinate deal closings.
  • Support the practice with general research and drafting legal documents.

Requirements

  • 1-3 years of law firm experience, particularly in capital markets and tax law.
  • Strong written communication skills, with the ability to create concise and effective legal documents.
  • Proven analytical skills and strategic thinking ability.
  • Excellent interpersonal skills, capable of effectively communicating advice to clients.
  • Detail-oriented with a commitment to client service.
  • Demonstrates teamwork and the ability to collaborate with individuals of various styles.
  • Ambitious with leadership qualities and an eagerness for career development.
  • Experience or strong interest in real estate matters, including REITs and the . housing market.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed or eligible to practice law in the State of New York and in good standing.
