A law firm in Boston, MA is seeking a Technology Transactions (Biotech) Associate Attorney with 6+ years of transactional and licensing experience, and a strong interest in the life sciences sector. The ideal candidate will have opportunities to interact directly with clients, engage in dynamic transactions, and work closely with a team of energetic attorneys. A background in biological sciences, chemistry, engineering, pharmacy, or business is highly favored.

Key Duties and Responsibilities:

  • Handle a range of technology transactions and licensing matters, focusing on the biotechnology, pharmaceuticals, digital health, medical devices, diagnostics, and discovery tools sectors.
  • Interact with clients, providing legal counsel on day-to-day matters and complex strategic transactions.
  • Develop, draft, and negotiate a variety of agreements including partnering and licensing arrangements, research and development agreements, and manufacturing, supply, and distribution agreements.
  • Manage agreements with academic or research institutions, clinical trial arrangements, material transfer agreements, and non-disclosure agreements.
  • Assist with mergers, acquisitions, divestitures, spin-outs, and joint ventures involving life sciences companies.
  • Collaborate with other attorneys firmwide to provide comprehensive legal support and advice.
  • Lead the structure and negotiation of complex transactions, ensuring alignment with client objectives and regulatory requirements.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice in the state of Massachusetts.
  • 6+ years of experience in technology transactions and licensing, preferably with a focus on life sciences.
  • Strong academic credentials and a demonstrated interest in the life sciences sector.
  • Experience with a range of transaction types including partnering, licensing, R&D, manufacturing, clinical trials, and M&A.
  • Comfortable with significant client interaction and a desire to take on leadership roles in structuring and negotiating transactions.

  • Ability to manage complex transactions and multitask effectively.
