A law firm in Boston, MA is seeking an Associate Attorney with 3+ years of experience in securitization or structured finance. Counsel-level candidates with relevant experience will also be considered. Prior work with private credit or Collateralized Loan Obligations (CLOs) is advantageous, and large law firm experience is strongly preferred.

Job Details:

  • Provide legal counsel and support in securitization and structured finance transactions.
  • Assist in the structuring, negotiation, and documentation of complex financial transactions.
  • Conduct due diligence, draft transaction documents, and coordinate closings.
  • Advise clients on regulatory compliance and risk management issues related to securitization and structured finance.
  • Collaborate with partners, clients, and external parties to ensure smooth transaction processes.
  • Stay updated on legal developments and industry trends affecting securitization and structured finance markets.

Duties:

  • Conduct legal research and analysis pertaining to securitization and structured finance transactions.
  • Draft and review transactional documents including offering memoranda, credit agreements, and security agreements.
  • Participate in client meetings, negotiations, and due diligence processes.
  • Assist in managing and coordinating transaction closings and post-closing activities.
  • Provide strategic advice and solutions to clients regarding complex financial structures and regulatory requirements.

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the Massachusetts State Bar in good standing.
  • 3+ years of experience practicing in securitization or structured finance at a law firm or relevant legal environment.
  • Strong understanding of financial markets, particularly in private credit or CLOs.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to manage multiple priorities and work effectively under tight deadlines.
  • Strong interpersonal skills with the ability to communicate complex legal concepts clearly and concisely.
  • Detail-oriented with a commitment to delivering high-quality work and client service.

Preferred Skills:

  • Experience with private credit transactions, CLOs, and other structured finance products.
  • Familiarity with regulatory frameworks and compliance issues in securitization.
  • Advanced degree (.) in Banking, Finance, or related field is advantageous.
  • Certifications related to financial transactions or structured finance (., CFA) are a plus.
