Senior Corporate Senior Associate The candidate will assume significant responsibility in complex transactional matters for key clients. Can also expect to be involved with a variety of assignments and receive valuable hands-on experience across a range of disciplines, including cross-border mergers and acquisitions, private equity, debt finance, capital markets, joint ventures, strategic alliances, commercial contracts, securities offerings and corporate governance. Advise firm clients on mergers and acquisitions, joint ventures, and other corporate transactional matters. Responsible for transaction management and due diligence. Assist in managing client relationships.

Qualification and Experience The candidate should have a Juris Doctor degree and be admitted to practice in a US State Bar and be in good standing. Admission to the TX State Bar is expected if not currently admitted. Must have 7+ years of significant transactional experience. Senior experience in a law firm handling mergers and acquisitions, and other corporate transactional matters is preferred. Experience in mergers and acquisitions, dispositions, auctions, carve out transactions, joint ventures and/or international business transactions is required. Experience in US securities transactional and regulatory matters, including 34 Act compliance, public and private debt and equity offerings, proxy statement preparation and annual meeting cycle management, and public company governance matters is a plus.
