A law firm in San Diego, CA is seeking a Corporate Health Plan Associate Attorney to provide strategic legal counsel to dynamic healthcare clients. The position involves advising clients on various phases of transactional business, focusing primarily on mergers and acquisitions, asset and equity acquisition transactions, venture capital investments, and joint ventures. Additionally, the attorney will assist clients with corporate governance, operational strategy, and day-to-day corporate legal matters.

 

Duties:

  • Advise healthcare clients on strategic transactions including mergers and acquisitions, asset and equity acquisition transactions, venture capital and private equity investments, and joint venture transactions.
  • Assist clients with corporate and organizational matters such as entity formations, capital raises, operational strategies, and contract negotiations.
  • Conduct comprehensive legal research, analyze complex legal issues, and provide strategic legal advice and solutions.
  • Draft, review, and negotiate a wide range of legal documents, contracts, and agreements related to corporate transactions and governance.
  • Maintain regular communication with clients, manage client relationships effectively, and ensure high levels of client satisfaction.
  • Collaborate closely with internal teams, including other attorneys and support staff, to deliver comprehensive legal services and support firm initiatives.

 

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Admission to the State Bar of California and active, good standing.
  • 4-6 years of experience practicing law with a strong emphasis on health plan operations, regulatory compliance, managed care, and state and federal healthcare laws.
  • Expertise in Medicare risk adjustment, STARS, Medicaid matters, provider contracting, and behavioral health parity.
  • Thorough understanding of corporate governance principles and transactional business practices within the healthcare industry.
  • Excellent oral and written communication skills, with the ability to convey complex legal concepts clearly and persuasively.
  • Strong analytical skills, attention to detail, and problem-solving abilities.
  • Ability to manage multiple projects, prioritize tasks, and meet deadlines in a fast-paced legal environment.
  • Demonstrated ability to work independently and collaboratively as part of a team.
