A law firm in Philadelphia is seeking a Corporate M&A Associate Attorney with 5+ years of experience. The ideal candidate will focus on drafting and negotiating transactional documents and will have the opportunity to work directly with clients. Strong academic achievement, prior law firm experience, and exceptional writing, drafting, and communication skills are required.

Duties and Responsibilities:

  • Draft and negotiate a wide range of transactional documents, including merger and acquisition agreements, joint venture agreements, and other complex commercial contracts.
  • Advise clients on corporate transactions, including due diligence, structuring, and risk management.
  • Manage and execute all aspects of M&A transactions, including drafting and reviewing term sheets, definitive agreements, and ancillary documents.
  • Conduct legal research and provide strategic counsel on complex business and transactional issues.
  • Collaborate with clients, opposing counsel, and internal teams to facilitate smooth and efficient transaction processes.
  • Participate in client meetings, negotiations, and strategic planning sessions.
  • Ensure compliance with applicable laws and regulations throughout the transaction lifecycle.
  • Stay current on developments in corporate and M&A law and integrate new legal trends and practices into transactional work.

Requirements:

  • 5+ years of experience in business and transactional law, including significant experience with M&A, joint ventures, and complex commercial transactions.
  • Strong academic credentials and law firm experience.
  • Exceptional writing, drafting, and communication skills.
  • Proven ability to manage complex transactions and provide high-quality client service.
  • Ability to work directly with clients and handle high-pressure situations effectively.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to and in good standing with the Pennsylvania Bar (or the relevant jurisdiction’s Bar).

Skills:

  • Extensive knowledge of corporate and M&A law.
  • Proficiency in drafting and negotiating transactional documents.
  • Strong analytical and problem-solving abilities.
  • Excellent communication and client interaction skills.
