A law firm seeks a highly skilled associate to join its Banking (Growth Debt) practice. The ideal candidate will have a minimum of two years of experience in debt finance, specifically working with clients in the life sciences and technology sectors. This role involves supporting both lenders and borrowers in various financing transactions.

Duties

  • Provide legal assistance in secured and unsecured lending transactions.
  • Draft, negotiate, and review essential financing documents, including loan agreements and security agreements.
  • Manage UCC-secured transactions and deepen knowledge of leveraged finance and private capital.
  • Collaborate with clients to design effective financing solutions tailored to their needs.
  • Conduct thorough due diligence and legal research related to debt finance.
  • Stay informed about current market trends and legal developments in the life sciences and technology sectors.

Requirements

  • At least two years of relevant experience in debt finance or a related field.
  • Solid understanding of secured and unsecured lending practices.
  • Familiarity with UCC-secured transactions, leveraged finance, and private capital.
  • Exceptional analytical, writing, and verbal communication skills.
  • Ability to work effectively in a team-oriented environment while managing multiple responsibilities.

Education

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic performance is preferred.

Certifications

  • Must be licensed to practice law in CA.

Skills

  • Proficient in legal research and financial analysis.
  • Excellent organizational skills with a strong attention to detail.
  • Ability to clearly articulate complex financial concepts to clients and colleagues.
  • Experience drafting and negotiating finance-related documents effectively.
