A law firm in Saint Louis, MO is seeking an experienced Projects (M&A) Counsel to join their team. This role involves providing strategic legal advice and support on mergers and acquisitions projects, ensuring compliance and facilitating successful transactions.
Duties and Responsibilities:
- Advise clients on mergers, acquisitions, divestitures, joint ventures, and other corporate transactions.
- Conduct thorough due diligence reviews and risk assessments for M&A transactions.
- Draft, review, and negotiate transactional documents such as purchase agreements, merger agreements, and confidentiality agreements.
- Provide guidance on corporate governance matters and regulatory compliance related to M&A transactions.
- Collaborate with internal teams, clients, opposing counsel, and regulatory authorities throughout all stages of transactions.
- Assist in structuring complex corporate transactions to align with client objectives and legal requirements.
- Conduct legal research on various issues and provide clear and practical recommendations to clients.
- Stay updated on changes in corporate laws, regulations, and market trends impacting M&A transactions.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Active Bar membership in good standing in Missouri.
- Experience practicing law with a focus on mergers and acquisitions, preferably within a law firm setting.
- Proven track record of successfully managing and closing M&A transactions.
- Strong knowledge of corporate finance, securities laws, and regulatory compliance.
- Excellent drafting, negotiation, and communication skills.
- Ability to work both independently and collaboratively in a team-oriented environment.
- Exceptional attention to detail and strong analytical skills.
- Commitment to maintaining high ethical standards and client confidentiality.
Preferred Certifications:
- Certification in Mergers and Acquisitions (M&A) or related field is advantageous.
