A law firm is seeking a Corporate Securities Associate Attorney to join their Wilmington, DE office. The ideal candidate will have substantial experience in securities matters, including capital markets transactions and compliance with various securities regulations. The candidate should be adept at handling complex securities issues, corporate governance, and executive compensation, and possess excellent professional and academic credentials.

Duties:

  • Lead compliance efforts for ’34 Act and ’33 Act securities work, including advising on regulatory requirements and filings.
  • Manage and support capital markets transactions, including public and private offerings of equity, debt, and other securities.
  • Provide counsel on corporate governance matters, including exchange listing requirements and related compliance issues.
  • Address Rule 144, Section 13, and Section 16 issues, ensuring adherence to relevant regulations.
  • Advise on executive compensation matters and related legal implications.
  • Draft and review legal documents, including registration statements, prospectuses, and disclosure filings.
  • Collaborate with clients, stakeholders, and internal teams to develop and implement effective legal strategies.
  • Stay updated on changes in securities laws and regulations, and provide strategic advice accordingly.

Requirements:

  • 3+ years of experience in corporate securities law with a strong focus on securities compliance and capital markets transactions.
  • Demonstrated experience with public and private offerings of equity, debt, and other securities.
  • In-depth knowledge of corporate governance, exchange listing requirements, and securities regulations (Rule 144, Section 13, Section 16).
  • Familiarity with executive compensation issues.
  • Self-motivated with a confident, personable demeanor and excellent team collaboration skills.
  • Outstanding professional and academic credentials.
  • Admission to practice law in the state of Delaware.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Admission to practice law in the state of Delaware.

Skills:

  • Strong understanding of securities laws and regulations.
  • Proven ability to manage complex capital markets transactions and compliance matters.
  • Excellent drafting, negotiation, and communication skills.
