A law firm in New York City is seeking a Mid to Senior Level Associate Attorney with 4-7 years of experience in private equity fund work. The ideal candidate should have a high level of academic achievement and experience in the private funds practice of a peer firm.

 

Duties:

  • Manage and oversee the formation and operation of private equity funds.
  • Draft, review, and negotiate fund documentation, including limited partnership agreements, subscription agreements, and offering memoranda.
  • Advise clients on fund structuring, compliance, and regulatory matters.
  • Conduct due diligence on fund investments and assist with fund closings.
  • Handle complex fund formation and related transactions.
  • Provide legal advice on fund governance, management agreements, and investor communications.
  • Collaborate with partners and clients to develop fund strategies and structures.
  • Stay updated on industry trends, regulations, and best practices in private equity funds.
  • Assist with the evaluation of potential fund investments and opportunities.
  • Conduct legal research on fund-related issues and prepare legal opinions.
  • Manage client relationships and serve as a trusted legal advisor to fund managers and investors.
  • Assist with fund-related litigation and dispute resolution as needed.
  • Handle additional legal tasks and projects related to private equity funds.

 

Requirements:

  • Juris Doctor (.) degree from an accredited law school.
  • Active membership in the New York State Bar or eligibility for Bar admission via reciprocity.
  • 4-7 years of experience in private equity fund work at a reputable law firm.
  • High level of academic achievement with a strong record of success.
  • Experience in the formation, structuring, and operation of private equity funds.
  • Proficiency in drafting and negotiating fund documentation and agreements.
  • Knowledge of regulatory requirements and compliance issues related to private funds.
  • Strong understanding of fund governance, management structures, and investor relations.
  • Excellent analytical and problem-solving skills for handling complex fund transactions.
  • Exceptional communication skills for interacting with clients, partners, and investors.
  • Ability to work independently and as part of a team on fund-related matters.
  • Detail-oriented with a focus on accuracy and thoroughness in legal work.
  • Proficient in legal research tools and Microsoft Office Suite.
  • Previous experience in private funds practice at a peer firm is preferred.
