Job Overview:
A well-established law firm based in Cumming, GA, is seeking a highly skilled Corporate Transactional Attorney to join their team. This position is available on a full or part-time basis and offers an opportunity to work in a hybrid environment. The role is focused on managing corporate transactions, including mergers, acquisitions, and regulatory compliance. This is an ideal role for an attorney with experience in corporate law who thrives in high-stakes transactions and complex legal matters.

Duties:

• Lead legal aspects of mergers, acquisitions, joint ventures, and other corporate transactions
• Draft, review, and negotiate transaction-related documents such as purchase agreements and shareholder agreements
• Provide strategic legal advice on deal structures, corporate governance, and regulatory compliance
• Collaborate with multidisciplinary teams, including financial advisors and accountants, for smooth transaction execution
• Ensure compliance with relevant federal, state, and industry regulations
• Assess and mitigate risks in corporate transactions and business operations
• Advise on corporate governance, policies, intellectual property, and employment issues
• Draft, review, and modify contracts and legal documents as needed
• Represent clients in negotiations and provide legal counsel in proceedings and litigations
• Manage multiple concurrent projects and prioritize tasks effectively
• Contribute to the firm's business development through client relationship management

Requirements:

• Minimum of 5 years of experience in corporate law, specifically with mergers and acquisitions
• Strong knowledge of corporate law, securities law, and corporate governance
• Demonstrated experience handling complex transactions and regulatory compliance

Education:

• Juris Doctor (.) from an accredited law school

Certifications:

• Must be licensed to practice law in the state of Georgia
• Additional Bar admissions in other states are considered a plus

Skills:

• Excellent drafting, negotiation, and communication skills
• Strong analytical ability to assess legal risks and provide sound legal advice
• Ability to manage multiple transactions simultaneously in a fast-paced environment
• Proficiency in Microsoft Office, legal research tools, and document management software (MyCase, Soluno preferred)
• Client-focused with strong relationship-building and management skills
