A law firm in Grand Rapids, MI, is seeking an experienced Corporate Attorney to join their team. The ideal candidate will have significant expertise in business transactions, including mergers and acquisitions, private offerings, and capital restructuring. Strong skills in general corporate work, contract review and drafting, and the ability to lead transactions are crucial for this role.
Duties and Responsibilities:
- Assist clients in various business transactions, such as mergers and acquisitions, private offerings, and capital restructuring.
- Provide legal advice and counsel on general corporate matters, including contract negotiation, drafting, and review.
- Lead and manage transactional matters, taking a first chair role as necessary.
- Conduct due diligence reviews and prepare related reports and analyses.
- Draft and negotiate transactional documents, including purchase agreements, shareholder agreements, and corporate resolutions.
- Advise clients on corporate governance issues, compliance requirements, and regulatory matters.
- Maintain strong client relationships and ensure exceptional client service throughout engagements.
- Collaborate effectively with internal teams and external stakeholders to achieve client goals and objectives.
Requirements:
- Juris Doctor (JD) degree from an accredited law school.
- Admission to the Michigan State Bar (preferred) or eligibility for admission by motion.
- Minimum of 3 years of experience practicing corporate law at a law firm.
- Demonstrated ability to independently manage and lead transactions in a first chair capacity.
- Strong background in transactional work, particularly in mergers and acquisitions.
- Excellent academic credentials with a track record of high achievement.
- Exceptional organizational skills with the ability to manage multiple projects and deadlines.
- Superior attention to detail and accuracy in work product.
- Excellent interpersonal and communication skills, both written and verbal.
Preferred Certifications:
