This role is part of the firm’s Data Strategy, Security & Privacy practice group and involves drafting and negotiating complex technology and data-related agreements across various industries. Location

Duties

  • Draft and negotiate a range of technology and data-related contracts, such as software development, licensing agreements, cloud computing, and master services agreements
  • Handle agreements for various industries, including fintech, healthcare, retail, transportation, energy, construction, hospitality, education, and real estate
  • Support multidisciplinary transactions, including mergers and acquisitions and financing agreements
  • Conduct due diligence on technology-related matters, such as intellectual property ownership, licensing terms, and information security
  • Advise clients on privacy and cybersecurity provisions in contracts and ensure compliance with regulations like CCPA and GDPR
  • Collaborate with cross-functional teams to provide legal support for commercial activities

Requirements

  • 3-5 years of relevant experience in a law firm or in-house environment
  • Proven experience drafting and negotiating complex technology, intellectual property, and data-related commercial contracts
  • Familiarity with technology matters in corporate transactions, including software licensing, open-source issues, and IT security
  • Knowledge of privacy laws and regulations, such as CCPA and GDPR, and experience drafting privacy policies and website terms of use
  • Strong analytical, drafting, and communication skills to effectively convey legal risks and opportunities to clients

Education

  • Juris Doctor (.) degree from an accredited law school

Certifications

  • Admission to the state bar (Massachusetts preferred, or eligibility for reciprocity)

Skills

  • Proficient in contract negotiation and drafting within technology and data transactions
  • Excellent interpersonal and communication skills, with the ability to work cross-functionally with commercial teams
  • Ability to manage multiple priorities in a dynamic, fast-paced environment
  • A responsive and proactive attitude, with a strong commitment to client service
