Job Overview:
A law firm in Seattle, WA, is seeking an experienced ECVC (Emerging Companies and Venture Capital) Associate Attorney to join their dynamic team. This position is ideal for a candidate with 5-7 years of specialized experience in ECVC who is adept at navigating the complexities of venture capital and emerging companies law. The successful candidate will work closely with clients to provide expert legal guidance and support in all aspects of ECVC transactions.
Duties:
- Provide comprehensive legal advice and support to emerging companies and venture capital clients.
- Draft, review, and negotiate various legal documents, including investment agreements, term sheets, and financing documents.
- Manage and oversee all phases of venture capital transactions, from initial client meetings to closing.
- Conducted due diligence and provided strategic recommendations for clients concerning funding rounds and other capital-raising activities.
- Collaborate with clients, investors, and other stakeholders to facilitate smooth and efficient transactions.
- Stay current on industry trends, legal developments, and regulatory changes affecting emerging companies and venture capital.
- Represent clients in negotiations and front of regulatory agencies as needed.
- Mentor and guide junior attorneys and legal staff.
- Participate in business development efforts, including client pitches and networking events.
Requirements:
- 5-7 years of experience in ECVC law or a related field.
- Proven track record in handling complex venture capital transactions and advising emerging companies.
- Strong understanding of relevant legal and regulatory frameworks, including securities laws and corporate governance.
- Excellent negotiation, drafting, and analytical skills.
- Ability to manage multiple projects and priorities effectively.
- Strong client management skills and the ability to work collaboratively in a team environment.
Education:
- Juris Doctor (JD) from an accredited law school.
- Admission to the Washington State Bar or eligibility for admission.
Certifications:
- Certification in Venture Capital or Emerging Companies Law (preferred but not required).
