A law firm in San Francisco, CA, is seeking a Projects (M&A) Counsel with a strong focus on domestic and international business transactions and corporate matters, especially within the energy sector. The ideal candidate will manage a variety of high-profile projects involving renewable energy, energy storage, and power generation technologies. This role requires handling diverse M&A transactions and providing comprehensive legal advice on complex project development and financing matters.

Duties:

  • Advise clients on a wide range of energy-related transactions, including mergers and acquisitions, joint ventures, and project development.
  • Draft, review, and negotiate complex transaction documents, such as purchase agreements, joint venture agreements, joint development agreements, and development services agreements.
  • Conduct thorough due diligence for M&A transactions related to projects, including reviewing project development documents and performing detailed legal research.
  • Collaborate effectively with internal and external stakeholders, including clients and colleagues in areas such as tax, regulatory, and real estate.
  • Stay informed about industry trends and legal developments in project development, M&A, and finance law.
  • Provide legal assistance on other matters related to project development and M&A as required.
  • Utilize representative experience in the renewable energy market to advise on project development, including offtake, procurement, and construction, as well as project finance transactions.
  • Manage and oversee M&A transactions involving acquisitions, joint ventures, divestitures of projects, portfolios of projects, and entire development platforms.

Requirements:

  • 4+ years of experience in handling M&A transactions, particularly within the energy sector.
  • Proven expertise in drafting and negotiating complex transaction documents and conducting due diligence.
  • Experience with renewable energy projects, energy storage, and power generation technologies is highly desirable.
  • Background in mergers and acquisitions or project finance, preferably within a sophisticated national law firm environment.
  • Strong ability to collaborate with various stakeholders and manage complex legal matters effectively.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to practice law in California or the ability to obtain admission.

Skills:

  • In-depth knowledge of domestic and international business transactions and corporate matters, particularly in the energy sector.
  • Proficiency in drafting and negotiating high-complexity transaction documents.
  • Strong due diligence and legal research capabilities.
  • Excellent communication and interpersonal skills for effective collaboration with clients and stakeholders.
  • Ability to stay updated on industry trends and legal developments.
  • Strong organizational skills with the ability to manage multiple projects and deadlines efficiently.
