A law firm in San Francisco, CA, is seeking a highly skilled Lateral Attorney to join its M&A / Private Equity practice group. The ideal candidate will lead transactions in private equity mergers and acquisitions across diverse industries, including health care, life sciences, medical services, technology, food and beverage, and manufacturing sectors. This role requires substantial experience in both domestic and international M&A transactions and capital markets financings.

Duties:

  • Lead and manage private equity mergers and acquisitions transactions.
  • Advise on domestic and international public and private mergers and acquisitions.
  • Provide counsel on capital markets financings and securities law compliance issues arising from M&A transactions.
  • Handle cross-border M&A transactions, addressing multi-jurisdictional issues from both structural and compliance perspectives.
  • Draft, negotiate, and review complex legal documents, including merger agreements, commercial agreements, stock purchase agreements, asset transfer agreements, stockholders’ agreements, limited partnership agreements, joint venture agreements, and public filings.
  • Manage complex private M&A transactions and oversee deal closings across multiple international jurisdictions.
  • Offer legal advice on capital markets, corporate governance, and other general corporate matters.
  • Collaborate with clients to navigate complex corporate transactions in various sectors including health care, life sciences, medical services, technology, oil and gas, food and beverage, and manufacturing.

Requirements:

  • Juris Doctor (JD), Master of Laws (LLM), or foreign equivalent degree.
  • Admission to the State Bar of California.
  • Minimum of 4 years of experience as an Associate in the Corporate practice of a global law firm, focusing on corporate M&A transactions.
  • Proven track record in advising on domestic and international mergers and acquisitions and capital markets financings.
  • Extensive experience in drafting and negotiating complex legal documents related to M&A and capital markets.

Education:

  • Juris Doctor (JD), Master of Laws (LLM), or foreign equivalent degree.

Certifications:

  • Admission to the State Bar of California.

Skills:

  • Expertise in managing private equity and M&A transactions.
  • Strong understanding of securities law compliance and capital markets.
  • Proficiency in drafting and negotiating a wide range of legal documents.
  • Ability to handle complex cross-border transactions and multi-jurisdictional issues.
