Senior Income Tax Associate Attorney

Job Overview: A law firm seeks a highly experienced Senior Income Tax Associate Attorney with over 6+ years of substantive tax experience, particularly in transactional tax. The ideal candidate will have extensive experience leading the tax aspects of mergers and acquisitions, real estate transactions, and managing junior associates and paralegals. The role requires significant client contact and an emphasis on pass-through entities, C-Corporation planning, and related tax strategies. This position is based in San Francisco, CA.

Duties:

  • Lead tax aspects of mergers and acquisitions.
  • Manage tax components of real estate transactions.
  • Supervise and mentor junior associates and paralegals.
  • Engage in substantial client contact and relationship management.
  • Plan and advise on pass-through entities and C-Corporation structures, including QSBS and irrevocable trust structuring.
  • Provide tax planning for M&A matters, family office planning, real estate ventures, and estate planning transactions.
  • Handle internal restructurings, litigation, and employment disputes.
  • Work collaboratively within a team and manage individual responsibilities.

Requirements:

  • Minimum of 6+ years of substantive tax experience focusing on transactional tax.
  • Experience leading tax aspects of mergers and acquisitions and real estate transactions.
  • Proven ability to manage junior associates and paralegals.
  • Significant client contact experience.
  • Strong written, interpersonal, and communication skills.
  • Ability to work both independently and within a team.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • . in Taxation is preferred.

Certifications:

  • Admission to the State Bar of California is required.

Skills:

  • Expertise in pass-through entities and C-Corporation planning.
