A law firm in Atlanta is seeking a Corporate Associate Attorney with 4-6 years of experience in general corporate law, mergers & acquisitions (M&A), and/or private equity transactions. The ideal candidate will possess strong document drafting skills, experience with middle-market transactions, and a solid academic background. This role involves supporting transactions and providing critical legal services in corporate matters.

Duties:

  • Draft and review corporate documents, including agreements, contracts, and transaction-related materials.
  • Provide transaction support for corporate deals, including mergers, acquisitions, and private equity transactions.
  • Conduct legal research and analysis to support corporate transactions and legal strategies.
  • Assist with due diligence processes, including the review and analysis of transaction documents.
  • Collaborate with clients, colleagues, and other stakeholders to facilitate transaction execution.
  • Advise clients on corporate governance, compliance, and other corporate matters.
  • Manage multiple projects and deadlines efficiently while maintaining high-quality work.

Requirements:

  • 4-6 years of experience in general corporate law, mergers & acquisitions, and/or private equity transactions.
  • Experience with middle-market transactions in a large firm preferred.
  • Excellent academic credentials with a strong foundation in corporate law.
  • Ability to handle complex legal issues and provide sound legal advice.
  • Strong document drafting and transactional support skills.

Education:

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications:

  • Admission to or eligibility for admission to the Georgia Bar.

Skills:

  • Proficient in drafting and reviewing corporate documents and transaction materials.
  • Experienced in managing and supporting corporate transactions, including M&A and private equity deals.
  • Excellent legal research and analytical skills.
  • Strong communication skills with the ability to interact effectively with clients and colleagues.
