Duties

• Advise clients on business entity selection and formation, ensuring compliance and strategic alignment with client objectives.
• Draft and review corporate governance documents, including operating agreements, bylaws, and partnership agreements.
• Prepare, negotiate, and finalize buy-sell agreements tailored to client business continuity plans.
• Led and managed various business transactions, including mergers, acquisitions, and restructurings.
• Collaborate with clients to provide counsel on complex legal and regulatory business matters.
• Maintain open and effective communication with clients, providing clear, strategic advice and written guidance on transactional matters.

Requirements

• Minimum of 5+ years of experience in business and corporate law.
• Proven expertise in handling business entity selection, corporate governance, and transactional work.
• Demonstrated experience with mergers, acquisitions, and buy-sell agreements.
• Strong decision-making skills with the ability to navigate complex legal scenarios confidently.

Education

• Juris Doctor (JD) degree from an accredited law school.
• Active membership in the Minnesota State Bar.

Certifications

• Licensed to practice law in Minnesota.
